These Terms and Conditions ("Terms") constitute a legally binding agreement between you and BicaDriver Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria with its registered office in Lagos State, governing your access to and use of the BicaDriver mobile application, website, and all related services.
By accessing, browsing, registering on, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Nature and Scope of Services
The Company operates strictly as a technology-enabled intermediary platform designed to connect vehicle owners or users requiring driving services ("Clients") with independent third-party drivers ("Drivers"). Services include on-demand driver services within Lagos State for short-term engagements and the sourcing of Drivers for longer-term arrangements of not less than one (1) month.
Under no circumstance shall the Company be construed as a provider of transportation services. The Company does not own, lease, manage, or control any vehicles, nor does it employ or exercise direct control over any Driver.
2. No Employment, Agency, or Partnership Relationship
Nothing in these Terms shall be deemed to create any relationship of employer and employee, principal and agent, partnership, joint venture, or fiduciary relationship between the Company and any Driver or Client. Drivers are not employees, agents, representatives, or partners of the Company.
3. User Registration and Account Responsibility
Users may be required to register and create an account by providing accurate, current, and complete information. The User shall be solely responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account.
4. Driver Engagement and Client Responsibility
Clients are solely responsible for:
- Assessing the suitability of any Driver engaged through the Platform
- Ensuring that their vehicle is roadworthy, properly insured, and compliant with all applicable laws
- Providing clear instructions and lawful directions to Drivers
- Ensuring compliance with all applicable traffic, safety, and regulatory requirements
5. Driver Obligations and Representations
Drivers who register on the Platform represent and warrant that they possess valid and current driver's licences, requisite experience, and any other permits required under applicable laws and regulations.
6. Payments and Fees
The use of certain features of the Platform may attract service fees, which shall be communicated through the Platform prior to engagement. All payments made through the Platform are final, subject only to any applicable refund policy expressly stated.
7. Disclaimer of Warranties
The Platform and all services are offered on an "as is" and "as available" basis without warranties of any kind. The Company disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, reliability, and non-infringement.
8. Exclusion of Liability for Driver Conduct
To the maximum extent permitted under Nigerian law, the Company shall bear no liability for any act, omission, or misconduct of any Driver, including but not limited to:
- Any theft, loss, or damage to property
- Any fraud, misrepresentation, or dishonesty
- Any assault, harassment, or inappropriate conduct
- Any negligent, reckless, or dangerous driving
- Any traffic offence, regulatory breach, or accident
- Any injury, disability, or death
- Any criminal act whatsoever committed by a Driver
9. General Limitation of Liability
The total aggregate liability of the Company to any User shall not exceed the total amount paid by such User to the Company within the thirty (30) days preceding the event giving rise to the claim. The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages.
10. Indemnification
The User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, costs, or expenses arising out of the User's use of the Platform or any breach of these Terms.
11. Background Checks and Verification Disclaimer
The Company may conduct limited background checks on Drivers at its sole discretion. Such checks are not exhaustive and do not constitute any guarantee, endorsement, or certification of the Driver's character or competence.
12. Termination and Suspension
The Company reserves the right to suspend, restrict, or terminate access to the Platform at any time without prior notice where it reasonably believes that a User has breached these Terms.
13. Force Majeure
The Company shall not be liable for any delay or failure in performance arising from events beyond its reasonable control, including acts of God, natural disasters, governmental actions, pandemic, or failures of telecommunications services.
14. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be resolved amicably. Where resolution fails, the dispute shall be referred to arbitration in Lagos State in accordance with the Arbitration and Mediation Act, 2023.
15. Amendments
The Company reserves the right to amend these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

Final Acknowledgement: By using the Platform, you expressly acknowledge that the Company is merely a facilitator of connections between independent parties; Drivers are not employees or agents of the Company; the Company bears no responsibility for the conduct of any Driver; and you assume all risks associated with engaging services through the Platform.
